This document relates to products and services offered electronically and consists of three parts: the Pre-Contractual Information Form, the Distance Sales Agreement, and the Sales Agreement.
If you are a consumer, nothing in this document limits or removes the mandatory rights you have under applicable consumer-protection law. Where a term here would give you less protection than the law requires, the law applies instead, and the rest of this document remains in effect.
This document governs the sales relationship. Your use of the Offerings is also governed by our Terms of Use and Privacy Policy. If there is a conflict between the two on a sales matter (price, payment, delivery, withdrawal, refunds), this Sales and Services Agreement prevails for that matter; on all other matters, the Terms of Use and Privacy Policy prevails.
This is a single agreement that applies to all buyers, but not every clause applies to everyone. Clauses are marked where they apply only to a specific audience:
Where clauses conflict, the audience- or country-specific clause prevails for that buyer over a general clause. Nothing in this agreement reduces a consumer's mandatory rights; where a marked clause would give a consumer less than the law requires, the law applies instead.
Seller: The Doktar legal entity that supplies the products or services, identified to you at the time of purchase and whose details appear at the end of this document.
Buyer: Any individual or legal entity, acting in a personal (consumer) or commercial capacity, purchasing from the Seller.
Consumer: A Buyer who qualifies as a consumer under the law that applies to them (generally, a person acting for purposes outside their trade, business, or profession).
Platform: The web applications, mobile applications, API services, and device-management infrastructure operated by the Seller.
Offerings: All products, services, and solutions provided by the Seller, including but not limited to software applications (web, mobile, desktop), APIs, integrations and related interfaces, hardware devices and equipment (including IoT devices and sensors and their features such as cameras), data access and processing services, analytics and visualization tools, subscription-based or cloud-hosted services, and any professional, technical, or support services. Each of these is an Offering.
Digital Service: Software, data, analytics, field-monitoring, and similar services provided electronically (for example, field monitoring priced by field location and size, and device subscriptions).
Digital Agricultural Device: IoT-based hardware and related equipment used for agricultural purposes, whether manufactured by the Seller or supplied by the Seller from another manufacturer. Some devices are goods with digital elements, meaning certain functions require an active subscription or connected service.
Product Data Sheet: The completed product-specific pre-purchase information shown to you before ordering, including the common information and every applicable product-specific section. The Product Data Sheet forms part of your order and this agreement.
Payment Provider: The infrastructure used to process payments, such as Stripe (for direct purchases from the Seller) or the Apple App Store and Google Play (for in-app purchases).
Responsible Seller: For every purchase, the seller responsible for the contract is shown to you at checkout and on your receipt. For direct purchases (for example, on our website via Stripe), the Seller is responsible and handles billing, cancellation, withdrawal, and refunds. For purchases made through the Apple App Store or Google Play, the store's terms govern payment, billing, renewal, and store-administered refunds, and the legally responsible transaction party is the one identified by the store's terms and your receipt; this agreement continues to govern Doktar's provision of the Offering itself.
For each purchase, an order-specific summary (buyer, seller entity, product or field, service period, price calculation, delivery/renewal dates, and withdrawal details) is shown at checkout and sent to you on a durable medium. This form sets out the general terms.
The completed Product Data Sheet shown before purchase forms part of the order and this agreement. It is shown to you before your purchase is completed on every purchase channel, including direct (web) purchases and Apple App Store or Google Play in-app purchases. We preserve the version shown to you and provide it with the order confirmation on a durable medium.
The Seller is one of the Doktar entities listed at the end of this document. Which entity you contract with depends on your location and the product, and it is shown to you before you complete your purchase, together with the price. The contract is formed only with that Seller entity; no other group company is a party.
The Seller may provide: field-monitoring and other digital agricultural services; digital content; software services and features; subscriptions (including annual or other periodic device subscriptions); API and data services; and physical products, including digital agricultural devices that we manufacture or supply from other manufacturers. New products or services may be added over time.
Most digital services are delivered immediately without physical shipment. Physical products are delivered by courier.
For consumers, the final total payable, including all applicable taxes and any delivery or other charges, is shown before you place your order. For business buyers, taxes such as VAT (including any reverse-charge), customs duties, or import costs may be handled separately depending on jurisdiction. Prices may change prospectively; a change does not affect an order already placed or the current paid period of a subscription.
Payments are processed through the Payment Provider. The Seller does not store full card details; those are held by the Payment Provider.
We keep three things separate:
Subscriptions run for the period shown at purchase and renew in the manner shown at checkout and permitted by the law that applies to you, unless you stop renewal beforehand. Before each renewal, we or the applicable Payment Provider or app store give you advance notice of the renewal price and the cancellation deadline where required by applicable law. Where the law that applies to you requires renewal to be approved before each term (rather than relying only on the original checkout), we obtain that approval. Where the law that applies to you requires a refund of the unused prepaid period on termination, we provide it within the period required by law, and we complete cancellation within the period required by law.
You can stop renewal or cancel at any time through your account or by contacting us; for app-store purchases, use your Apple or Google account. Cancellation must be at least as easy as subscribing.
Digital services and subscriptions are assigned to your account. Physical products are delivered by courier; risk passes to you on delivery. The expected delivery time for physical products is shown before you complete your purchase. Unless a different time is agreed, we deliver within 30 days of your order. International shipments may require customs clearance; where customs duties or import charges apply, we tell you before purchase.
If you are a consumer, you generally have 14 days to withdraw:
The right of withdrawal may not apply to certain items, such as goods made to your specifications or clearly personalized. Where an exception applies, we tell you before purchase.
To withdraw, tell us with a clear statement using our contact details, or use the Model Withdrawal Form at the end of this document. Where we are the responsible seller, you can always notify us directly; for app-store purchases you may also use the app store's process. Where the law that applies to you requires an online withdrawal function, it is available throughout the withdrawal period.
Where a refund is due, we refund within 14 days of being informed of your withdrawal (or, for Turkish subscription terminations, within the period required by law), using the same payment method you used, at no cost to you. For physical products we may withhold the refund until we have received the goods back or you have supplied proof of return. Refund administration for app-store purchases follows the app store's process.
Physical devices come with the statutory conformity guarantee required by the law that applies to you (for example, a legal guarantee of at least two years in the EU, and the statutory warranty period in other jurisdictions). Where a device is made by another manufacturer, any additional manufacturer warranty is provided by that manufacturer; this does not affect our own statutory obligations to you as Seller.
Digital services and content must also conform to what was agreed. If a digital service is faulty or not as described, you are entitled to the statutory remedies, which may include having it brought into conformity, a proportionate price reduction, or termination with a refund, as applicable under the law that protects you.
Goods with digital elements: where a device needs an active subscription or connected service to work fully, we tell you before purchase which functions require it, what remains usable after the subscription ends, the included subscription period, compatibility requirements, and the period during which updates are provided.
If you have a complaint, please contact us first using the details at the end of this document. If you are a consumer, you may also use the consumer dispute-resolution bodies available to you under the law of your country (for example, a consumer arbitration committee or consumer court, or a national consumer authority or out-of-court dispute body). This does not limit your right to go to court.
We provide confirmation of this agreement on a durable medium, together with the completed Product Data Sheet, order-specific information, applicable consents, and withdrawal form. For direct purchases, the Seller provides the electronic invoice or receipt. For app-store purchases, the applicable app store provides the transaction invoice or receipt under its terms. Personal data is processed in accordance with our Privacy Policy and applicable data-protection law. Payment card data is held by the Payment Provider, not stored by the Seller.
This notice reflects EU connected-product data rules and applies to buyers to whom those rules apply. We may extend the same rights to other buyers, but they are not contractually granted worldwide by this notice.
This notice applies where you use a connected Digital Agricultural Device (a "connected product") and its related service. It explains the data the device and service generate and your rights over that data, in line with applicable connected-product data rules. This applies to both consumer and business buyers. For personal data specifically, our Privacy Policy also applies.
Data holder. For devices we manufacture, the data holder is the Seller entity identified for your purchase (see the end of this document). For devices supplied from another manufacturer, the data holder may be that manufacturer, or both the manufacturer and the Seller, depending on the device. The applicable data holder and its contact details are identified in the product information shown to you before purchase (the "Product Data Sheet").
Data generated. The connected product and related service generate data through their use, which may include: sensor readings (for example soil moisture, temperature, and humidity, as applicable to the device), device status and diagnostics, location, connectivity and signal data, and usage and event logs. The exact sensor categories for a given product are listed in its Product Data Sheet.
Format and frequency. A device normally generates telemetry at defined intervals (typically every 40 minutes). Telemetry is transmitted from the device using CBOR over MQTT; this is the transport format and is separate from the export format made available to you. You can access and export your data through the Platform or API in a commonly used, machine-readable format (such as JSON or CSV) specified for the relevant product. The exact telemetry interval, estimated daily and monthly data volume, sensor categories, retention period, and available export methods for a given product are set out in the Product Data Sheet, which is shown to you before purchase and preserved with your order.
Storage. Generated data is stored primarily on EU-based cloud infrastructure. Backup, telemetry, or support copies may in some cases be processed or stored outside the EU by our service providers under appropriate safeguards. Retention periods differ by data type (for example, telemetry, diagnostics, account data, and backups) and are set out in the Product Data Sheet and our Privacy Policy. Personal data is retained as described in the Privacy Policy.
Your access. You can access the readily available data your device generates, and its relevant metadata, through the app, dashboard, or API provided with the product. Where the data is not directly accessible to you, you may request it using the contact details at the end of this document, and we will make it available without undue delay, securely, free of charge, and in a structured, commonly used, machine-readable format. Where technically possible, we make it available continuously and in real time; technical feasibility qualifies only continuous or real-time delivery, not your basic right of access.
Sharing with third parties you choose (portability). At your request, we will make the generated data available to a third party you designate (for example, another service provider), securely and in a structured, commonly used, machine-readable format. Where technically possible, we make it available continuously and in real time; technical feasibility qualifies only continuous or real-time delivery, not your basic right to have the data shared. You can make or stop such a sharing request using the contact details at the end of this document or the controls in the app. We may apply reasonable measures to protect trade secrets and security, and we will tell you where any limitation applies.
Our use of the data. We use the readily available generated data to provide, secure, maintain, and improve the connected product and related services. We use non-personal generated data only for the purposes stated in this agreement and the applicable Product Data Sheet; our processing of personal data is described in the Privacy Policy. We will not use readily available non-personal device or related-service data to derive insights about your economic situation, assets, production methods, or device use in a manner that could undermine your commercial position.
Third parties. We make generated data available to third parties for their own purposes only with your agreement or where required by law. Where we share data with a third party at your request, that third party may use it only for the purposes you agreed with them.
Complaints. If you believe your data rights under applicable connected-product data rules are not respected, you may contact us using the details at the end of this document, and you may lodge a complaint with the competent authority in your country.
Deletion and retention. Deletion works differently for different data: (a) personal data can be deleted as described in the Privacy Policy and applicable data-protection law, subject to data we must retain by law; (b) non-personal device data can be deleted where this is technically available, offered by us, or required by law (applicable connected-product rules do not create a general right to erase all non-personal device data); and (c) retention periods for each data type are set out in the Product Data Sheet and our Privacy Policy, and after service termination data is retained or anonymized as described in the Termination paragraph below. Data anonymized or aggregated so that it no longer identifies you is treated as non-personal.
Termination. Your subscription controls the processing, storage, dashboard access, analytics, and API access associated with the device; the Product Data Sheet states, for each product, which functions require an active subscription and which remain available after it ends. When your subscription or service ends, your existing data remains accessible on the Platform for the period stated in the Product Data Sheet and Privacy Policy, and is then deleted or anonymized. A device may continue to transmit telemetry after expiry only where the Product Data Sheet says so and explains why; where it does, you can stop transmission through the app or by contacting us. You can export your data from the app at any time if you wish to keep it.
Security and trade secrets. We may take proportionate measures to keep the data and the connected product secure, and to protect trade secrets, provided this does not prevent you from exercising your data rights.
For any request under this notice, use the contact details at the end of this document.
This agreement is concluded electronically between the Buyer and the relevant Seller entity identified at purchase.
This agreement governs the distance sale of the products and services offered by the Seller and the collection of the applicable fees.
The withdrawal rules in the Pre-Contractual Information Form above apply and form part of this agreement:
For consumers, nothing here removes mandatory withdrawal rights. The Model Withdrawal Form is at the end of this document.
Subscription, renewal, cancellation, and termination are handled as set out in the Pre-Contractual Information Form, including the rules that apply under the law applicable to you.
This agreement enters into force upon your electronic acceptance. Detailed terms are set out in the Sales Agreement below.
The Seller is the entity identified above. The Buyer is any individual or legal entity purchasing from the Seller.
This Sales Agreement covers the sale of the Seller's products and services, including field-monitoring and other digital agricultural services, digital content, software services and features, subscriptions, API and data services, physical products and digital agricultural devices, and similar products or services added over time. It governs the sales relationship only.
The contract is concluded upon electronic confirmation, made by an unambiguous action that acknowledges the obligation to pay. Order and account notifications may be sent by email, SMS, in-platform message, or other electronic means. (Marketing messages are separate and require your consent where the law requires it.)
Prices are shown at purchase, including all applicable taxes for consumers. Additional taxes, reverse-charge VAT, customs, or import costs may apply to business or cross-border purchases depending on jurisdiction. The Seller may change prices prospectively; a change does not affect an order already placed or the current paid subscription period, and renewal price changes are notified in advance with the cancellation deadline.
Payments are processed through the Payment Provider.
Digital services and subscriptions are assigned to your account. For physical products, risk passes to the Buyer on delivery. Delivery times follow the Delivery section of the Pre-Contractual Information Form.
For direct purchases, the Seller issues and delivers the electronic invoice or receipt. For app-store purchases, the applicable app store issues the transaction invoice or receipt under its terms.
For consumers, the withdrawal and refund rules above apply, and your statutory remedies where a product or service is faulty or not as described are unaffected. Beyond those mandatory rights: digital services already fully performed are generally non-refundable. We do not offer voluntary returns outside your statutory withdrawal and conformity rights unless we state otherwise for a specific product at purchase. Where a device and a subscription are sold together as a single inseparable bundle (one order line and one price), your withdrawal applies to the bundle as a whole; if you withdraw, both components are returned or canceled and any bundle discount is reversed, and we refund what you paid for the bundle in line with your statutory rights. Where the hardware and subscription are sold as separate order lines or contracts, withdrawal may be exercised for each separately. Refunds are made through the original payment channel (or the app store, for app-store purchases).
Devices carry the statutory conformity guarantee required by law, and digital services and content carry statutory conformity remedies (bringing into conformity, price reduction, or termination and refund). Where a device is supplied from another manufacturer, that manufacturer's warranty may also apply, without affecting the Seller's statutory obligations to consumers.
To the extent permitted by law, the Seller's liability for a given order is limited to the total amount paid for that order, and the Seller is not liable for indirect, special, or consequential damages, loss of profits, loss of data, or business interruption.
The Seller is not liable for delays or failures genuinely outside its control (for example, internet or infrastructure outages, or third-party acts). This does not exclude the Seller's own obligations to consumers for delivery, conformity, or refunds, which remain the Seller's responsibility even where carried out through couriers or payment providers.
This limitation does not apply to liability that cannot be limited by law, including death or personal injury caused by negligence, fraud, or gross negligence or intentional misconduct. If you are a consumer, nothing in this section limits your mandatory statutory rights or remedies, including your rights where a product or service is faulty or not as described.
Services may be suspended for non-payment, serious breach, or security risk. Where we suspend or discontinue a paid service you have paid for and this is not due to your breach, we will provide a pro-rata refund or credit for the unused period.
An event is a force majeure event only if it is beyond the affected party's reasonable control, could not reasonably have been avoided or overcome, and materially prevents performance (for example, natural disasters, major infrastructure outages, or certain governmental actions or regulatory changes). The affected party must notify the other without undue delay and take reasonable steps to mitigate. This does not affect a consumer's mandatory rights.
The Seller's system records and logs may be used as evidence. For consumers, this does not override any mandatory rules of evidence or consumer protection that apply to you.
This agreement is governed by the law of the Seller entity conducting the sale, and disputes may be brought in the courts of the Seller's place of establishment. If you are a consumer, you also keep the protection of the mandatory consumer laws of your country of residence, and you may bring or defend claims in the courts of your own country where the law gives you that right. For cross-border business sales of physical goods, the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
If this Sales Agreement conflicts with the Pre-Contractual Information Form, the Pre-Contractual Information Form prevails for all buyers. If it conflicts with the Terms of Use and Privacy Policy on a sales matter, this Sales and Services Agreement prevails on that matter.
(Complete and return this form only if you wish to withdraw from the contract. For app-store purchases, you may also use the app store's process.)
